This (User Agreement) is a contract between (You) and (The Sales Advisory Board) and applies to Your use of the entire website and complete service offering. The Policies, Terms and Conditions as set forth below, limit The Sales Advisory Board’s liability and obligations to (You) also referred to herein as the (Client). By acknowledging and accepting this User Agreement, the Client understands and agrees to be bound by the Terms and Conditions of this User Agreement as set forth herein. You are agreeing to be bound by this User Agreement that binds You in the same way a paper contract or paper agreement binds You. Any and all use of The Sales Advisory Board, its website and service offering is subject to this “User Agreement,” and its Policies, Terms and Conditions. Should any portion of these Policies, Terms and Conditions be modified, the remaining Policies, Terms and Conditions will remain in full force and effect at all times.
Privacy Statement
The Sales Advisory Board respects the privacy of our users and Clients. By this, we mean we will not distribute, sell or lease any personal information to any third party for any reason. The Sales Advisory Board provides all consulting services and solutions on a 100% strictly confidential basis. With respect to usage: We will never share, sell or rent personal information unless ordered by a court of law. Information submitted to The Sales Advisory Board is only available to employees managing this information for internal business purposes only.

The compilation (i.e. collection, arrangement and assembly) of all content is the exclusive property of The Sales Advisory Board. All software used on the website is the property of The Sales Advisory Board or its software suppliers and protected by U.S. and International copyright laws. It is the policy of The Sales Advisory Board to enforce its intellectual property rights to the fullest extent permitted under law. All program and product names, regardless of whether or not they appear in large print or with a trademark symbol are property of The Sales Advisory Board. The entire content of The Sales Advisory Board website, including any images or text, is copyrighted and may not be distributed, modified, reused, reposted, or otherwise used except as provided herein without the express written consent of The Sales Advisory Board. Legal
Under no circumstances will The Sales Advisory Board be liable for any loss or damage caused by a Client’s reliance on information obtained through The Sales Advisory Board. It is the responsibility of the Client to evaluate the accuracy, completeness or usefulness of any information, opinion, advice or other content available through The Sales Advisory Board. Please seek the advice of professionals, as appropriate, regarding the evaluation of any specific information, consultation, opinion, advice or other related content or communication. The Sales Advisory Board makes no representations or warranties of any kind, express or implied, as to the operation of the website, the information, content, materials, products or services included and available through the website. The Sales Advisory Board will not be liable for any damages of any kind arising from the use of, or inability to use the website, including but not limited to direct, indirect, incidental, punitive or consequential damages.
Sales Sounding Board
Professional Solution: Refers to a (1) hour, (2) hour and (3) hour telephone consultation. Any variation to this format must be agreed upon by the Client and The Sales Advisory Board via email or by written agreement. The Professional Solution is a sales, sales management and sales leadership consulting service provided over the telephone or by cellular phone only. The Professional Solution can be purchased in single and multiple quantities; in (1) hour, (2) hour and (3) hour increments. Payment is required in full, upfront and in advance of consulting services rendered to the Client.
Premiere Solution: Refers to a retainer-based consulting service provided in monthly increments for a period of up to one year by agreement. Any variation to this format must be agreed upon by the Client and The Sales Advisory Board via email or by written agreement. The Premiere Solution is a sales, sales management and sales leadership consulting service provided (24) hours a day, (7) days a week, and (365) days a year between the Client and The Sales Advisory Board. The Premiere Solution is provided over the telephone, and via email, text and instant message. Payment is required in full, upfront and in advance of consulting services rendered to the Client.
Sales Management Outsourcing
Executive Solution: Refers to a sales management outsourcing service where The Sales Advisory Board acts as a Sales Manager on an outsourced basis to the Client. The time commitment, duties, responsibilities and fees must be agreed upon in writing by a separate addendum (Schedule A) and signed by both the Client and a representative of The Sales Advisory Board. Minimum agreement for this service is (1) month up to a maximum of (1) year and may be renewed. Payment is due in advance of consulting services rendered to the Client and pricing is based on a monthly fee. An agreement of (2) months or more must include a one-time, (1) month deposit upfront, in addition to agreed upon monthly fees.
Fees
Except where noted, any and all fees will be agreed upon by the Client and The Sales Advisory Board prior to initiation and implementation of consulting services rendered to the Client.
Payment
All fees are payable in advance for the term or length of agreement for all Sales Sounding Board services unless otherwise agreed upon by the Client and The Sales Advisory Board: This includes the (Professional Solution) and (Premiere Solution). The Sales Management Outsourcing service (Executive Solution) is billed monthly in advance of each month the work is to be performed. Agreements of (2) months or more require an upfront deposit equal to one month’s fees.
Satisfaction Guarantee
The Sales Advisory Board strives to ensure Your full satisfaction with any and all of our consulting services. The Sales Advisory Board reserves the right to issue a full or partial refund for services rendered; limited to unused time and/or unused hours at the sole discretion of management.
Cancellation
Either party can cancel at any time and for any reason with notice.
Liability
This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in, operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, tortuous behavior, negligence or under any other cause of action. In no event will The Sales Advisory Board or any person associated with The Sales Advisory Board be liable for any damages. This includes, without limitation; direct, indirect, incidental, special, consequential or punitive damages arising from the use of or inability to use the website or any of the consulting services provided by The Sales Advisory Board. You agree, The Sales Advisory Board will not for any reason or circumstance regardless of legal theory, whether in tort, contract or otherwise; be liable to You or any other party for any direct, indirect, incidental, special, consequential, punitive or any other damages, however caused and regardless of character.
Indemnification
No responsibility for loss arising in any way from; or in connection to errors or omissions in any information provided (including responsibility to any persons by reason of negligence) is accepted by The Sales Advisory Board. The Client will exonerate, indemnify and hold harmless The Sales Advisory Board; its consultants, officers and employees, from and against any and all liability, losses, costs, expenses; including attorney’s fees, damages, claims or demands, directly or indirectly deriving from any and all services offered, provided or rendered by The Sales Advisory Board.
In the event The Sales Advisory Board must, in any manner, enforce any provision of this User Agreement, it shall be entitled to reasonable attorney’s fees and associated costs. By acknowledging You understand these Policies, Terms and Conditions, You acknowledge that You have read and agree to conform and comply with this User Agreement as stated herein.
Termination
Termination by the Client: “Services” shall be deemed terminated by the Client if The Sales Advisory Board does not receive payment at the time payment is due. In other circumstances, the Client may terminate “Services” by giving notice in writing. Termination will take effect on acknowledgment of receipt by The Sales Advisory Board of such notice.
Termination by The Sales Advisory Board: The Sales Advisory Board may terminate “Services” provided to Client immediately with prior notice.
Controlling Law
This User Agreement will be interpreted pursuant to the laws of the State of California.
Policy Statement
The Sales Advisory Board reserves the right to make changes to its website, service offering and these disclaimers, User Agreement, Policies, Terms and Conditions at any time without prior consent or authorization.
Acceptance of Terms and Conditions
By initialing or clicking acceptance of these Terms and Conditions, prior to and after payment, You consent to the use of (a) electronic means to complete this User Agreement, to use any and all portions of the website and consulting services; and to provide You with any notices given pursuant to this User Agreement, and (b) electronic records to store information related to this User Agreement. You understand and agree that this User Agreement and any notices given pursuant to this User Agreement are enforceable in electronic format. Should any portion of these Policies, Terms and Conditions be modified, the remaining Policies, Terms and Conditions will remain in full force and effect at all times as dictated in this User Agreement. |
